Terms and Conditions

Effective date: 2026. Governing law: State of Delaware, USA.

1. General provisions

These Terms and Conditions (“Terms”) govern access to and use of the website baryvo.com and the general commercial relationship between dqpt LLC (“Baryvo,” “we,” “us”) and visitors, prospects and clients. Specific engagements are governed by separate written agreements (Master Services Agreement, Statement of Work, Data Processing Agreement) that take precedence over these Terms in case of conflict.

By using this website you agree to these Terms. If you do not agree, do not use the website.

3. Services

Baryvo provides consulting and implementation services across Operational Ownership, Program & Project Management, Technical Advisory & Cost Reduction, Process & Systems Design, Practical AI Integration and Expert Sourcing & Team Building. The website baryvo.com describes our practice areas; it does not constitute a binding offer of services. The precise scope, deliverables, timeline and fees of any engagement are defined in a written Statement of Work executed between Baryvo and the client.

We do not provide services for engagements smaller than a full quarterly operating cycle, we do not enter fixed-price feature builds, and we do not engage in matters that require us to find creative interpretations of applicable laws or regulations.

4. Client responsibilities

Clients agree to:

  • Provide accurate, complete information about the engagement scope, internal stakeholders and existing systems
  • Make available appropriate personnel for interviews, decisions and approvals as specified in the relevant Statement of Work
  • Pay invoices in accordance with the payment terms of the relevant Statement of Work
  • Comply with all laws applicable to the client's industry, including but not limited to data protection, financial services, healthcare and pharmaceutical regulations
  • Retain ultimate accountability for decisions made on the basis of Baryvo's recommendations

5. Compliance and onboarding

Engagements may be subject to onboarding diligence, including verification of corporate identity, beneficial ownership, sanctions screening and reasonable inquiry into the nature of the requested work. Baryvo reserves the right to decline or terminate engagements that fail diligence, that involve sanctioned parties, or that would require participation in conduct we reasonably consider unlawful or unethical.

6. Payments

Fees, payment milestones, invoicing cadence and currency are defined in the relevant Statement of Work. Default payment term is thirty (30) days net from invoice date. Late payments may accrue interest at the maximum rate permitted by applicable law and may result in suspension of services after written notice.

7. Intellectual property

Unless explicitly stated otherwise in the relevant Statement of Work: pre-existing intellectual property of Baryvo (including methodologies, frameworks, internal tools, reference architectures and code libraries) remains the property of Baryvo. Custom deliverables produced specifically for the client under an engagement are assigned or licensed to the client as defined in the Statement of Work, typically upon full payment.

The Baryvo name, logo and all website content are owned by dqpt LLC. No license is granted by access to this website.

8. Limitation of liability

To the maximum extent permitted by applicable law, Baryvo's aggregate liability arising out of or relating to an engagement shall not exceed the fees paid by the client to Baryvo under the relevant Statement of Work in the twelve (12) months preceding the event giving rise to the claim. Baryvo shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or business opportunity.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

9. Third-party services

Engagements may involve the implementation, configuration or operation of third-party software, platforms or services (for example, cloud providers, analytics tools, LLM APIs). Such third-party services are governed by their respective terms; Baryvo is not responsible for changes, outages, breaches or terminations of third-party services. Recommendations regarding third-party tools are made in good faith based on fit at the time of engagement and do not constitute warranties of suitability or continuity.

10. Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with an engagement, and shall use such information solely for the purpose of performing or receiving the services. Confidentiality obligations survive termination of the engagement for a period defined in the relevant Statement of Work (typically five years).

11. Termination

Engagements may be terminated as defined in the relevant Statement of Work. Upon termination, the client shall pay for all services performed up to the effective termination date. Provisions of these Terms or of the relevant Statement of Work which by their nature are intended to survive termination — including confidentiality, intellectual property assignments, limitation of liability and governing law — shall survive.

12. Governing law and dispute resolution

These Terms and any engagement entered with dqpt LLC shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The parties shall first attempt to resolve any dispute through good-faith negotiation. If unresolved within sixty (60) days, disputes shall be submitted to binding arbitration administered by a recognized arbitration body, seated in Delaware, conducted in English.

13. Changes to these Terms

We may update these Terms from time to time. The effective date reflects the latest version. Material changes affecting clients with active engagements will be communicated in writing.
